Terms & Conditions.

These Terms and Conditions ("Terms") govern your access to and use of the website, digital platform, accounts, features, services and opportunities made available by Insight Hub Solutions Limited ("Insight Hub", "Company", "we", "us" or "our").

Insight Hub Solutions Limited is a Nigerian company providing and developing solutions and business activities across areas including technology, property, logistics, automotive and agriculture.

References to our "Platform" include our website, investor dashboard, account facilities and related digital services operated by or on behalf of Insight Hub Solutions Limited.

By accessing or using our Platform, creating an account, submitting information, participating in an opportunity or otherwise using our services, you agree to be bound by these Terms and our Privacy Policy.

Where your participation in a particular service or opportunity requires a separate agreement, acceptance of that agreement may also be required before or as part of your participation.

If you do not agree to these Terms, you should not use services or features that require acceptance of them.

You must have the legal capacity to enter into the transaction or arrangement concerned. Investment opportunities made available for individual participation are intended for persons legally capable of entering into binding agreements.

Where a person acts for a company, organisation or another person, that individual represents that they have appropriate authority to do so.

We may request reasonable information or documentation to establish identity, authority, eligibility or compliance with applicable requirements.

Certain services require you to create an account. You agree to provide accurate, current and complete information and to update relevant information where necessary.

• You are responsible for safeguarding your account credentials.
• You must not knowingly allow unauthorised persons to use your account.
• You must notify us promptly if you suspect unauthorised access or compromise of your account.
• You are responsible for activities carried out through your account to the extent permitted by applicable law.
• You must not create an account using false, misleading or unlawfully obtained information.

We may require email verification or other reasonable security measures before allowing access to certain Platform features.

Insight Hub Solutions Limited may provide, facilitate or develop services and opportunities across different business divisions. The availability, structure, eligibility requirements and commercial terms of individual services may differ.

Information displayed on the Platform is intended to describe the relevant service or opportunity and should be read together with any specific documentation, agreement, disclosure or instructions provided for that service.

We may introduce, modify, suspend or discontinue Platform features or services where reasonably necessary, subject to existing contractual obligations.

From time to time, Insight Hub may make business or investment opportunities available through the Platform. Each opportunity may have its own participation amount, opening date, closing date, project duration, projected or agreed commercial terms, capacity and other conditions.

Availability on the Platform does not mean that an opportunity will remain open indefinitely. Participation may close when its stated deadline is reached, available capacity is filled or the opportunity is otherwise closed in accordance with its terms.

Users are responsible for reviewing the information provided for an opportunity before making a participation decision and, where appropriate, obtaining independent professional advice.

Certain opportunities may be governed by a separate investment, participation, project or other written agreement ("Specific Agreement").

A Specific Agreement may contain terms relating to matters such as the amount committed, project duration, commencement, expected or agreed return structure, payment schedule, maturity, obligations of the parties, project-specific risks, exit arrangements and dispute resolution.

These Terms continue to govern general use of the Platform and matters not specifically addressed by the applicable Specific Agreement.

Where payment is required, you must follow the payment instructions made available for the relevant service or opportunity.

• Payments must be made through an authorised method or account specified by Insight Hub for the relevant transaction.
• You are responsible for ensuring that payment information and transaction references submitted by you are accurate.
• Submission of payment evidence does not by itself constitute verification or activation of an investment.
• A payment may remain pending while the transaction is reviewed and reconciled.
• We may request additional information where reasonably necessary to verify a payment.
• You should retain your payment confirmation or other relevant transaction record.

Where a payment cannot be verified, we may place the transaction on hold until the discrepancy is resolved.

For opportunities using our investment-code system, a verified payment may result in an investment code being issued to the relevant investor.

Investment codes are intended for the investor and transaction to which they are issued. You should keep your code secure and should not sell, transfer, disclose or misuse it except where expressly permitted by Insight Hub.

Issuance of a code does not permit the code to be redeemed more than once. A code that has already been validly redeemed may be rejected by the Platform.

Where an opportunity uses the Platform's activation process, an investment becomes recorded as activated when the applicable activation requirements have been successfully completed and the Platform confirms activation.

An investor card, investment number or dashboard record generated following activation serves as a Platform record of the relevant investment. It should be read together with the applicable Specific Agreement and underlying transaction records.

Investors should review their investment details and contact us promptly if they believe a material record is incorrect.

Any return, profit, yield, performance figure, projection, estimate or financial expectation displayed in relation to an opportunity must be interpreted in the context in which it is presented and together with the applicable Specific Agreement.

A projection, estimate, illustration or target is not automatically a guarantee of future performance merely because it appears on the Platform.

Where a Specific Agreement expressly creates a contractual payment or return obligation, the nature and extent of that obligation will be determined by the wording of that agreement, subject to applicable law.

Business and investment activities may involve risk. The nature and level of risk vary depending on the relevant opportunity, project and market conditions.

Risks may include, where relevant, operational delays, changes in input or operating costs, market conditions, counterparty performance, supply-chain disruption, regulatory developments, technology failures and other circumstances affecting a project or business.

Opportunity-specific documents may identify additional or more particular risks. You should consider whether an opportunity is suitable for you and obtain independent financial, legal, tax or other professional advice where appropriate.

Dates and timelines may be provided for opportunities and projects. We aim to provide information in good faith based on the relevant project plan and circumstances known at the time.

Where circumstances materially affect a project, we may provide updates through the investor dashboard, email or another appropriate communication channel.

The legal effect of any delay or change to a project timeline will depend on the applicable Specific Agreement and relevant law.

Cancellation, withdrawal and refund rights are not necessarily identical for every service or opportunity. They may depend on the nature and stage of the transaction and the applicable Specific Agreement.

Unless a refund right is expressly provided by applicable law or the relevant agreement, you should not assume that a payment or activated investment can be cancelled or refunded on demand.

Where you believe a payment was made in error or there is a transaction discrepancy, contact us promptly so that the matter can be reviewed.

By using our digital services, you acknowledge that we may send service-related communications electronically, including by email, dashboard notification or other contact information associated with your account.

These communications may include account verification, payment-status information, investment codes, activation confirmation, project updates, security notices and other operational information.

You are responsible for keeping your contact information reasonably current and reviewing important communications relating to your account or investments.

When using our Platform or services, you agree to:

• Provide information that is accurate to the best of your knowledge.
• Review opportunity information and applicable agreements before participating.
• Use only lawful funds and lawful payment methods.
• Keep your account credentials and investment codes secure.
• Review transaction and investment records made available to you.
• Contact us promptly regarding suspected errors, unauthorised activity or account compromise.
• Comply with applicable laws and lawful requirements relevant to your use of our services.

You must not use the Platform to:

• Commit or facilitate fraud, deception or other unlawful conduct.
• Submit false or manipulated payment evidence.
• Gain or attempt to gain unauthorised access to another user's account.
• Circumvent security, authentication or investment-verification mechanisms.
• Redeem or attempt to misuse an investment code issued to another person without authorisation.
• Introduce malicious software or intentionally interfere with the operation or security of the Platform.
• Impersonate another person or falsely represent your authority or relationship with Insight Hub.
• Copy, scrape, exploit or misuse Platform content or systems in violation of applicable law or these Terms.

Suspected fraudulent or unlawful activity may result in account restriction, investigation and, where appropriate, referral to relevant authorities.

Unless otherwise stated, the Insight Hub name, branding, Platform design, original website content, graphics, software elements and other proprietary materials made available by us are owned by or licensed to Insight Hub Solutions Limited and are protected by applicable intellectual property laws.

You may use the Platform for its intended lawful purposes. You may not reproduce, distribute, commercially exploit, modify or create unauthorised derivative works from protected materials without appropriate permission, except where permitted by law.

The Platform may rely on or link to third-party services such as hosting, database, email, payment, communications or other technology services.

Independent third-party websites and services may have their own terms and privacy practices. Insight Hub does not control independent third-party services merely because a link or integration is available through our Platform.

We aim to maintain reliable access to our Platform but do not guarantee that digital services will be uninterrupted or error-free at all times.

Access may occasionally be affected by maintenance, updates, network problems, infrastructure failures, security measures or circumstances outside our reasonable control.

Where reasonably possible, we will work to restore affected services and maintain accurate records of material transactions.

To the maximum extent permitted by applicable law, Insight Hub Solutions Limited will not be liable for indirect, incidental, special or consequential losses arising solely from the use of or inability to access the Platform where such liability may lawfully be excluded or limited.

We are not responsible for losses caused solely by inaccurate information supplied by a user, unauthorised disclosure of credentials by a user, independent third-party systems outside our reasonable control or unlawful use of the Platform by another person, except to the extent liability cannot lawfully be excluded.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Any liability relating specifically to an investment, contractual payment or other transaction governed by a Specific Agreement will also be subject to the terms of that agreement and applicable law.

To the extent permitted by applicable law, you may be responsible for losses, claims, liabilities or reasonable costs incurred by Insight Hub as a direct result of your fraud, deliberate unlawful conduct, material breach of these Terms or unauthorised misuse of the Platform.

This provision does not require you to indemnify Insight Hub for losses caused by Insight Hub's own conduct where such responsibility cannot lawfully be transferred to you.

Where permitted by applicable law and the relevant Specific Agreement, a party may not be responsible for a delay or failure caused by circumstances beyond its reasonable control.

Such circumstances may include serious natural events, governmental restrictions, widespread infrastructure failure, civil disturbance, labour disruption, major communication or technology outages and other comparable events outside reasonable control.

The application of force majeure to a particular investment or contractual obligation will be determined by the applicable Specific Agreement and relevant law.

We may restrict or suspend access to an account where reasonably necessary to investigate suspected fraud, protect Platform security, comply with a lawful requirement, prevent material misuse or address a serious breach of these Terms.

Where appropriate and legally permissible, we may request additional information before restoring access.

Suspension or closure of a Platform account does not by itself extinguish existing contractual rights or obligations arising from a valid investment or other agreement.

Our collection and handling of personal information is described in our Privacy Policy. By using our Platform, you acknowledge that personal information may be processed as reasonably necessary to provide our services, administer accounts and transactions, maintain security and comply with applicable requirements.

We may update these Terms from time to time to reflect changes to our Platform, services, business operations or applicable requirements.

Updated Terms may be published on this page with a revised effective or update date. Where a material change requires additional notice or consent under applicable law, we will take reasonable steps to provide it.

Changes to these general Platform Terms do not automatically rewrite the agreed commercial terms of an existing Specific Agreement unless the agreement or applicable law permits such a change.

These Terms are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises concerning these Terms or use of the Platform, the parties should first make reasonable efforts to resolve the matter through good-faith communication.

If the dispute cannot be resolved informally, the parties may pursue the dispute-resolution mechanism provided by applicable law or, where relevant, the mechanism specified in the applicable Specific Agreement.

Nothing in this section prevents either party from seeking urgent or appropriate legal relief where permitted by law.

Entire understanding

These Terms, our Privacy Policy and any applicable Specific Agreement constitute the relevant terms governing your relationship with Insight Hub in respect of the matters they cover.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

No waiver

A failure or delay in enforcing a right under these Terms does not automatically amount to a waiver of that right.

Assignment

You may not transfer rights or obligations relating to your personal Platform account without our consent where such consent is reasonably required. Insight Hub may make lawful corporate or operational assignments subject to applicable contractual and legal requirements.
